Terms of Service

1.What Newsamp is (and is not)

Newsamp ("the Service") is an informational research tool that publishes model-generated rankings, market statistics, and related commentary about Canadian small-cap securities listed on the TSX, TSXV and CSE.

Newsamp is not an investment adviser, portfolio manager, broker, or dealer, and is not registered with any securities regulator. Nothing on the Service or in our emails constitutes investment advice, a recommendation, or an offer or solicitation to buy or sell any security. Model outputs are statistical estimates that are frequently wrong.

2.Accounts

You need a free account to access the data pages. You must provide a valid email address, keep your password secure, and be at least the age of majority in your province or territory. You are responsible for activity under your account. We may suspend or terminate accounts that abuse the Service (including scraping, redistribution, or attempted unauthorized access).

3.Newsletter and marketing consent

Newsamp is free because it is funded by our newsletter. As a condition of creating an account, you expressly consent to receive Newsamp's market newsletter and other marketing emails at the address you register. This consent is collected via the required checkbox at signup, and we record the date, time, and terms version of your consent.

You may withdraw this consent at any time using the unsubscribe link in any email or by contacting us at bfalkner9@gmail.com. Because the newsletter funds free access, we reserve the right to close or limit accounts that have withdrawn marketing consent; withdrawal never affects emails we are required or permitted to send you about your account itself (for example password resets or material changes to these terms).

4.Market data and model outputs

Data on the Service is compiled from public sources and third-party feeds. It may be delayed, incomplete, or inaccurate, and is provided "as is" without warranty of any kind. Model scores, projections (including cash-runway estimates), and "why" explanations are automated statistical outputs — not statements of fact and not predictions you should rely on. Always verify against primary sources before making any decision.

5.Risk disclosure

Small-cap and venture-listed securities are speculative and highly volatile. They can be illiquid, halted, or diluted without warning, and you can lose your entire investment. You alone are responsible for your trading decisions and for compliance with the laws that apply to you. If you need advice, consult a professional who is licensed in your jurisdiction.

6.Acceptable use

You may use the Service for personal, non-commercial research. You may not resell, redistribute, or systematically scrape the data; frame or mirror the Service; probe or disrupt our infrastructure; or use the Service to violate securities laws (including market manipulation).

7.Limitation of liability

To the maximum extent permitted by law, Newsamp and its operators are not liable for any losses or damages — including trading losses, lost profits, or indirect, incidental, or consequential damages — arising from your use of, or inability to use, the Service or its data, even if advised of the possibility. Where liability cannot be excluded, it is limited to CAD $100.

8.Changes and termination

We may modify the Service or these terms at any time. Material changes will be announced by email or on the site, with the version number above updated. Continued use after a change means you accept the new terms. You may delete your account at any time by contacting us.

9.Governing law and contact
